Antitrust law sits at the intersection of business strategy and government enforcement, and the consequences of getting it wrong — civil penalties, criminal charges, and private treble-damages litigation — are severe. We advise companies on antitrust compliance, represent clients in government investigations, and litigate antitrust cases in federal and state courts.
On the transactional side, we advise on the antitrust implications of mergers, acquisitions, and joint ventures — including Hart-Scott-Rodino filing requirements, substantive review by the FTC and DOJ, and the coordination of multi-jurisdictional merger notifications. We help clients understand whether a transaction is likely to be challenged and how to structure it to minimize antitrust risk.
On the compliance side, we help companies build antitrust compliance programs that address the specific risks of their industry — including pricing practices, distribution arrangements, information exchanges, and competitor collaborations. We train sales and management teams, conduct audits, and help companies identify and address potential issues before they become government investigations.
In litigation, we represent both plaintiffs and defendants in Sherman Act and Clayton Act cases, including price-fixing claims, monopolization cases, and merger challenges. We also defend clients in government investigations and grand jury proceedings.
